Terms of Service

1. Acceptance of Terms

By accessing or using any Cosmic Trading platform ("CosmicTRD"), including but not limited to cosmictrd.com, cosmictrd.io, dropship.cosmictrd.com, formation.cosmictrd.com, automation.cosmictrd.com, university.cosmictrd.com, blog.cosmictrd.com, and chinawholesale.com.bd, you agree to be bound by these Terms of Service ("Terms").

These Terms constitute a legally binding agreement between you ("Customer", "you") and Cosmic Trading ("Company", "we", "us"), a trading and sourcing business headquartered in Dhaka, Bangladesh with operations in Guangzhou, China and Kolkata, India.

By creating an account, placing an order, or using any of our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into binding agreements.

2. Services Description

Cosmic Trading provides the following services across our platforms:

• Product Sourcing — We source products from manufacturers and suppliers in China (1688, Taobao, Alibaba, and others) on your behalf based on submitted queries.
• Quality Control & Inspection — We conduct QC inspections at our China warehouse before international shipment, providing photo/video verification.
• International Shipping — We arrange air freight, sea freight, and express delivery from China to Bangladesh and other global destinations.
• Dropshipping Services — Pre-researched product catalog with automated Shopify fulfillment through dropship.cosmictrd.com.
• DIY Sourcing — Self-service product sourcing through chinawholesale.com.bd where customers can search and order directly from Chinese platforms.
• 3PL & Automation — FBA prep, FBM fulfillment, returns processing, and warehouse management through automation.cosmictrd.com.
• Business Formation — UK LTD and US LLC company registration, EIN setup, bank account assistance, and payment gateway integration through formation.cosmictrd.com.
• Customer Portal — Order management, wallet system, and account management through cosmictrd.io.

We act as an intermediary between you and Chinese suppliers. We do not manufacture any products and are not responsible for manufacturing defects unless identified during our QC process.

3. User Accounts

Account Creation: To use our services, you must create an account through our customer portal (cosmictrd.io). You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

Account Accuracy: You agree to provide accurate, current, and complete information during registration. We reserve the right to suspend or terminate accounts with inaccurate information.

Account Security: You must immediately notify us of any unauthorized access to your account. We are not liable for any loss arising from unauthorized use of your account.

4. Orders & Payments

Query Submission: Submitting a sourcing query requires query credits. Query credits are non-refundable once used. Submitting a query does not guarantee product availability, pricing, or fulfillment.

Quotation & Pricing: All prices quoted are estimates and may vary based on supplier availability, exchange rates, and shipping conditions. Final pricing is confirmed at order placement. The base currency for all transactions is Chinese Yuan (CNY), displayed in your preferred currency.

Payment Methods: We accept Platform Wallet, manual bank transfer (Bangladeshi banks), bKash/Nagad via EPS Payment Gateway, and other methods as available. Payment processing fees (e.g., EPS gateway fee) are borne by the customer unless stated otherwise.

Payment Confirmation: Orders are processed only after full payment confirmation. Manual bank transfers require admin verification. We reserve the right to cancel unconfirmed orders after a reasonable waiting period.

5. Shipping & Delivery

Shipping Methods: We offer Super Express (3-5 days), Air Freight (10-20 days), and Sea Freight (30-45 days) from China to Bangladesh. Rates are calculated based on weight, volume, and destination.

Delivery Timeline: Estimated delivery times are guidelines and are not guaranteed. Delays may occur due to customs clearance, weather, carrier issues, or other circumstances beyond our control.

Shipping Consent: Before international shipment, you will be presented with shipping rate consent. By accepting, you authorize us to proceed at the quoted price.

Customs & Duties: Any customs duties, import taxes, or additional charges imposed by customs authorities at the destination are the sole responsibility of the customer unless explicitly included in the quoted shipping price.

Risk of Loss: Risk of loss transfers to you upon delivery to the designated delivery address or collection point.

6. Business Formation Services

Business formation services provided through formation.cosmictrd.com are subject to the following additional terms:

Service Scope: We assist with company registration paperwork, government filings, and setup. We are not a law firm and do not provide legal advice.

Government Fees: State/government filing fees are separate from our service fees and are non-refundable once submitted to the relevant authority.

Processing Times: Stated processing times are estimates based on normal government processing periods. Delays by government authorities are beyond our control.

Accuracy: You are responsible for providing accurate information for company registration. We are not liable for rejections or delays caused by incorrect information provided by you.

7. Dropshipping & 3PL Services

Dropshipping: Dropshipping subscriptions are billed monthly. Product listings, pricing, and availability are subject to change. We are not responsible for marketplace policy changes that affect your store.

FBA/FBM Prep: We prepare products according to Amazon's current guidelines. We are not responsible for changes in Amazon's requirements after preparation is complete. Damage claims must be submitted within 48 hours of delivery to Amazon fulfillment centers.

Returns Processing: Items returned to our facility are inspected and graded. Disposal or restocking decisions are made based on your instructions. Storage fees may apply for items held beyond 30 days.

8. Wallet & Credits

Platform Wallet: Your wallet holds funds for payments and shipping charges. Balances are maintained in BDT and displayed in your preferred currency. Wallet funds are non-transferable between accounts.

Query Credits: Credits are required to submit sourcing queries. Credits have no monetary value and cannot be converted to cash. Unused credits do not expire.

Wallet Top-ups: Top-ups via bank transfer require admin verification. We are not responsible for delays due to incomplete or incorrect transfer information.

9. Intellectual Property

All content on Cosmic Trading platforms, including logos, designs, text, graphics, software, and user interfaces, is the property of Cosmic Trading and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

10. Prohibited Activities

You agree not to:

• Use the platform for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or other user accounts
• Submit false or misleading information in queries or orders
• Use the platform to source or ship prohibited, controlled, or illegal items
• Reverse engineer, decompile, or extract the source code of our platforms
• Automate access to our platforms without written permission
• Circumvent or manipulate pricing, fees, or credit systems
• Engage in fraudulent payment activities or chargebacks

Violation may result in immediate account termination without refund.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• Cosmic Trading shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our platforms.
• Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.
• We are not liable for damages caused by third-party suppliers, shipping carriers, customs authorities, marketplace platforms, or payment processors.
• We do not guarantee uninterrupted or error-free operation of any platform.

All platforms are provided "as is" and "as available" without warranties of any kind, whether express or implied.

12. Dispute Resolution

Governing Law: These Terms are governed by the laws of the People's Republic of Bangladesh.

Resolution Process: Both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be resolved through mediation or arbitration in Dhaka, Bangladesh.

Time Limitation: Any claim must be filed within one (1) year of the event giving rise to the claim.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated through the platform via notifications or email. Continued use after changes are posted constitutes acceptance of the revised Terms.
